Terms of Service for ApexReact
1. Acceptance of Terms
These Terms of Service (“Terms”) govern access to and use of the ApexReact web application and related services (“Service”), operated by ApexReact (“ApexReact”, “we”, “us”, or “our”).
By accessing or using the Service, creating an account, or completing a purchase, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Service.
2. Description and Purpose of the Service
The Service provides computational tools and automated calculations related to tank capacity, fluid dynamics, and process-related parameters.
The Service is provided solely as a computational support tool for testing, evaluation, and analytical purposes. The Service does not provide engineering advice, design approval, certification, compliance verification, or final validation.
The Service must not be relied upon as a final, authoritative, or complete source of truth.
3. Responsibility for Judgment and Independent Validation
All users, regardless of background, qualification, or experience, remain solely and fully responsible for independently reviewing, validating, and verifying all outputs, calculations, and results generated by the Service before relying on them for any technical, operational, commercial, regulatory, or safety-related purpose.
Users who are not qualified to independently assess and validate the outputs of the Service must not rely on such outputs as accurate, complete, or suitable for real-world application.
Any reliance on the Service without independent professional validation is entirely at the user’s own risk.
ApexReact expressly disclaims any responsibility for decisions, designs, implementations, or actions taken based on outputs generated by the Service.
4. Payments and Subscriptions
Certain features of the Service require payment. By purchasing a subscription or paid access, you agree to pay all applicable fees as presented at the time of purchase.
Payments are processed through third-party payment providers, including Stripe. ApexReact does not store payment card details.
Fees are charged for access to the Service, not for any guaranteed result, accuracy, outcome, or suitability.
5. Refund Policy
5.1 Business Use
The Service is offered primarily for professional and commercial use. To the extent permitted by law, consumer protection laws and statutory withdrawal rights do not apply.
5.2 No Right to Refund
All fees paid for access to the Service are final and non-refundable.
No refunds, credits, or reimbursements will be granted for any reason, including but not limited to:
- a) non-use of the Service
- b) dissatisfaction with functionality or performance
- c) errors, inaccuracies, or outcomes of calculations
- d) lack of suitability for a particular purpose
- e) downtime, interruptions, or changes to the Service
Payment does not create any right to a refund.
5.3 Discretionary Refunds
Any refund, credit, or partial reimbursement granted by ApexReact is entirely voluntary, discretionary, and provided solely as a gesture of goodwill.
Such action does not:
- a) constitute an admission of liability
- b) establish a precedent
- c) create any obligation to provide refunds in the future
5.4 No Refund Upon Termination
Termination, suspension, or expiration of access to the Service, for any reason, does not entitle the user to any refund of fees already paid.
5.5 Mandatory Law
Refunds will only be provided to the extent strictly required by mandatory applicable law. To the extent permitted by law, any statutory refund rights are expressly excluded.
6. Disclaimer of Warranties
The Service is provided on an “as-is” and “as-available” basis.
ApexReact makes no warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, or non-infringement.
ApexReact does not warrant that the Service will be uninterrupted, error-free, or up to date.
7. Limitation of Liability
To the maximum extent permitted by applicable law, ApexReact shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages, including but not limited to:
- loss of production
- business interruption
- structural or material damage
- loss of data
- financial or economic loss
- regulatory or compliance-related consequences
This limitation applies regardless of the legal basis of the claim, including contract, tort, negligence, product liability, or otherwise.
Any liability of ApexReact shall in all cases be limited to the total fees paid by the user for the Service during the twelve (12) months preceding the event giving rise to the claim.
8. Indemnification
You agree to indemnify, defend, and hold harmless ApexReact from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to:
- a) your use or misuse of the Service
- b) reliance on outputs generated by the Service
- c) violation of these Terms
- d) claims brought by third parties related to your application of the Service’s outputs
9. Intellectual Property
All rights, title, and interest in and to the Service, including software, algorithms, calculation models, content, and documentation, are and remain the exclusive property of ApexReact.
You are granted a limited, non-exclusive, non-transferable right to access and use the Service in accordance with these Terms. No ownership rights are transferred.
10. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.
ApexReact reserves the right to suspend or terminate access to the Service at any time if these Terms are violated or if use of the Service poses a risk to ApexReact or others.
11. Data Protection
Personal data is processed in accordance with applicable data protection laws, including the GDPR. Further details are provided in the Privacy Policy.
12. Changes to the Terms
ApexReact may update these Terms from time to time. The latest version will be made available within the Service. Continued use of the Service constitutes acceptance of the updated Terms.
13. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Denmark.
Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the Danish courts.
